Introduction
The purpose of this charter is to outline the responsibilities and operating procedures of the Nominating Committee.
Objective
The objective of the Nominating Committee is to:
- Identify and evaluate qualified candidates for membership on the board of directors and its committees;
- Ensure the board is comprised of individuals who have the qualifications, skills, experience, and background to effectively serve the organization;
- Ensure the board has adequate diversity in skills, experience, background, and perspectives;
- Recommend qualified candidates for election or appointment to the board of directors and its committees.
Membership
The Nominating Committee shall be composed of a minimum of three members appointed by the board of directors. The Chair of the Committee shall be appointed by the board.
Meetings
The Nominating Committee shall meet as necessary to fulfill its responsibilities. A majority of the members must be present to constitute a quorum.
Responsibilities
The responsibilities of the Nominating Committee shall include:
- Identifying and evaluating potential candidates for board and committee positions;
- Identifying gaps in the skills and experience of the board and recommending candidates who can fill these gaps;
- Ensuring candidates have the qualifications, skills, experience, and background needed to support the organization’s mission and goals;
- Conducting due diligence on candidates, including reference checks and background screenings;
